Service Agreement

This Client Service Agreement (the “Agreement”) is entered into between Vetted Workforce Group LLC, a Wisconsin limited liability company doing business as Seen Always (“Seen Always,” “we,” “us,” “our”), and the business identified on the Service Order (“Client,” “you,” “your”). It takes effect on the date you accept it (the “Effective Date”).

This Agreement governs the paid services you purchase and takes precedence over the general Terms & Conditions published on our website with respect to those services.

1. Definitions

1.1 “Services” means the services listed on your Service Order, as described in the applicable Schedules.

1.2 “Plan” means a named service package listed on your Service Order (for example, Seen Web Standard, Seen Social Basic, Seen Care Standard, Seen SEO Standard, Seen Growth, Seen Complete).

1.3 “Initial Term” means the minimum commitment period stated for a Plan on your Service Order.

1.4 “Build” means the website we design and develop for you under a Seen Web Plan, including its design, layout, custom code, and any materials we produce for it.

1.5 “Client Content” means text, images, video, logos, trademarks, data, credentials and other materials you supply or authorise us to use.

1.6 “Business Day” means Monday through Friday, excluding United States federal holidays and any holiday we publish in advance on our website.

1.7 “Small Edit” means a discrete change to existing published material that we reasonably estimate will take thirty (30) minutes or less and that does not require new design, new page structure, or new Functionality. Examples: changing text; swapping an image you supply; updating hours, prices, staff details, or a testimonial. A single request may bundle related changes and count as one Small Edit. New pages, redesigns, new features, and integrations are not Small Edits and are quoted separately.

1.8 “Allowance” means a quantity of Small Edits, posts, videos, platforms, content pieces or other deliverables included in a Plan for a given month.

1.9 “Launch Date” means the date by which we commit to publish your Build, calculated under Section 12.

1.10 “Content Complete” means the date we have received from you all information, materials, approvals and access we have reasonably requested in writing in order to build and publish your website.

1.11 “Standard Page” means a page of informational content — text, images, links, and a standard contact form — at a distinct URL. Page counts stated in a Plan refer to Standard Pages.

1.12 “Functionality” means any feature of a website that takes payment, sells products, books or schedules appointments, stores customer logins or accounts, operates subscriptions or recurring billing, or connects your website to other software. Functionality is not included in any Plan and is governed by Schedule A8.

1.13 “Annual Term” means a twelve (12) month commitment to a Seen Care, Seen Social or Seen SEO Plan at the published discounted rate, billed monthly in advance, elected under Section 4.7. An Annual Term is not a prepayment.

1.14 “Prepayment” means payment of the whole of a Seen Web Initial Term in a single charge at acceptance, at the published prepayment price, instead of monthly billing. Prepayment is available only on Seen Web Basic and Seen Web Standard.

2. Electronic Acceptance and Signature

This Section is deliberately specific because most of our clients accept this Agreement online rather than on paper.

2.1 How you accept. You accept this Agreement by any of the following, each of which constitutes your signature: (a) checking a box or clicking a button indicating acceptance during online checkout; (b) typing your name in a signature field; (c) signing a paper or electronic copy; or (d) making the first payment for the Services after being presented with this Agreement and a clear statement that payment constitutes acceptance.

2.2 Legal effect. The parties intend electronic records and electronic signatures to have the same legal effect as paper and handwritten signatures, as provided by the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.) and the Wisconsin Uniform Electronic Transactions Act (Wis. Stat. ch. 137, including §§ 137.15 and 137.17). Neither party will contest the validity, enforceability or admissibility of this Agreement on the ground that it was accepted electronically.

2.3 Notice and opportunity to review. The complete text of this Agreement is published at seenalways.com/service-agreement/ and is linked conspicuously at checkout, next to a clear statement that proceeding creates a binding agreement. You are responsible for reading it before accepting. You may request a copy at any time and we will provide one.

2.4 Version control. Each version of this Agreement carries a version number and effective date on its first page. The version you accepted is the version that governs your relationship with us, and remains in force for your Initial Term regardless of later revisions. We will identify that version in your Service Order and in your acceptance record, and we will retain a readable copy of each superseded version.

2.5 Record of acceptance. We will create and retain a record of your acceptance including, at minimum: the version number of this Agreement, the date and time of acceptance, the name and email address submitted, the name typed as signature where applicable, and the Plans purchased. We will retain that record for at least seven (7) years after the Services end, and will provide you a copy on written request.

2.6 Delivery. We will email you a copy of this Agreement, your Service Order and your receipt promptly after acceptance. Failure to receive that email does not invalidate your acceptance, but tell us and we will resend it.

3. Services and Schedules

3.1 What we will provide. We will provide the Services listed on your Service Order in accordance with this Agreement and the applicable Schedules. Plan inclusions, quantities, and turnaround commitments are those set out in the applicable Schedule and on your Service Order.

3.2 Only the Schedules that apply to you. A Schedule binds you only if you purchase a service it covers. If you later add a service, the corresponding Schedule applies from the date that service starts, without any need to re-sign this Agreement.

3.3 Out-of-scope work. Work outside your Plan — including additional pages, redesigns, Functionality as defined in 1.12, professional photography or videography, and paid advertising management — is quoted and agreed in writing before it begins. Nothing outside your Plan is included by implication.

3.4 How we perform. We may use subcontractors and third-party platforms to deliver the Services. We remain responsible to you for the Services regardless.

3.5 Changes to Plan contents. We may improve or substitute the tools and methods we use. We will not reduce the Allowances or the material inclusions of your Plan during your Initial Term.

4. Term and Renewal

4.1 Build Plans. Seen Web Basic and Seen Web Standard have an Initial Term of twelve (12) months from the start date on your Service Order. Payments during the Initial Term finance the design and development of the Build and include care of your website throughout the Initial Term. This applies whether you pay monthly or by Prepayment.

4.2 Custom builds. Seen Web Pro is governed by the separate scope and payment schedule agreed for that project, together with these Core Terms and Schedule A. A Seen Web Pro purchase includes a required twelve (12) month Seen Care Pro Plan commencing at publication, as set out in Schedule A2.4.

4.3 Seen SEO. Seen SEO has an Initial Term of three (3) months, for the reasons stated in Schedule C.

4.4 Other Plans. Seen Care and Seen Social have no Initial Term and continue month to month until canceled, unless you elect an Annual Term under Section 4.7, purchase them as part of a bundle under Schedule D, purchase Seen Care Pro alongside a Seen Web Pro Build under Schedule A2.4, or your Service Order states otherwise.

4.5 After a Build Plan Initial Term. When the Initial Term of a Seen Web Plan ends, service continues month to month on the corresponding Seen Care Plan at the then-current standard monthly rate for that Plan, unless you cancel under Section 10 or elect an Annual Term at that point. Seen Web Basic corresponds to Seen Care Basic; Seen Web Standard corresponds to Seen Care Standard. The scope of care does not reduce at this transition; only the price changes, and it changes downward.

4.6 Renewal of monthly Plans. Month-to-month Plans renew automatically each month on your anniversary date until canceled.

4.7 Annual Term election. You may elect an Annual Term for a Seen Care, Seen Social or Seen SEO Plan in exchange for the discounted rate published for that Plan. Where you elect an Annual Term:

(a) the discounted rate is fixed for the whole of the Annual Term;

(b) the Annual Term and the rate are recorded on your Service Order;

(c) the Plan is billed monthly in advance at the discounted rate. There is no Prepayment option for Seen Care, Seen Social or Seen SEO;

(d) cancellation before the end of the Annual Term is governed by Section 10.8;

(e) at the end of the Annual Term the Plan continues month to month at the same discounted rate, with no new commitment. You keep the rate you earned and may cancel at any time under Section 10.1;

(f) we will give you at least thirty (30) days’ written notice before your Annual Term ends and before any change to your rate; and

(g) where you add a Plan to an existing Plan, we may set the first Annual Term to end on the same date as your existing Plan so that both renew together. The discounted rate applies for the whole of that first term, however long or short it is.

An Annual Term is optional. Seen Care, Seen Social and Seen SEO remain available without one, month to month, at the published standard monthly rate. The only difference is price. Seen SEO retains its three-month Initial Term under Section 4.3 whether or not an Annual Term is elected.

5. Fees, Billing and Payment Authorisation

5.1 Currency. All fees are stated and payable in United States dollars. If your payment method is denominated in another currency, your bank or card issuer sets the conversion rate and may charge additional fees, which are yours to bear.

5.2 Authorisation. You authorise us, and our third-party payment processor, to charge the payment method you provide for all amounts due under this Agreement, including recurring fees, approved add-ons, and any payoff amount you elect to pay. This authorisation continues until your Services end and all amounts are paid.

5.3 Billing in advance. Fees are billed in advance.

(a) Monthly-billed Plans. Your first month is charged at acceptance. Each following month is charged on the same day of the month, being the day on which your Services started (your “anniversary date”).

(b) Prepaid Seen Web Plans. The whole Initial Term is charged in a single payment at acceptance, at the published prepayment price.

(c) Seen Web Pro. Fifty per cent (50%) at acceptance and fifty per cent (50%) before publication, unless the agreed project scope states otherwise.

Work begins once your first payment is processed.

5.4 What Prepayment is and is not. Prepayment is available only on Seen Web Basic and Seen Web Standard and is a discount for paying the Initial Term in one payment. It does not shorten or extend the Initial Term and it does not change what is included. If you cancel or default mid-term after Prepayment, Section 10.5 applies and no refund arises except as expressly provided in this Agreement or required by law.

5.5 No setup or build fee. Seen Web Basic and Seen Web Standard carry no separate build, setup or deposit fee. The cost of the Build is financed through the payments you make across the Initial Term.

Where you are billed monthly, your first month is due at acceptance and nothing further is payable before work begins. Where you prepay, the Initial Term is paid in full at acceptance in exchange for the published prepayment price.

5.6 Add-ons and overages. Additional deliverables you request beyond your Allowances are billed at our published rates and charged to your payment method. We will tell you the price before performing chargeable work.

5.7 Price changes. Your rate is fixed for your Initial Term or Annual Term. After that, or for month-to-month Plans, we may change pricing on at least thirty (30) days’ written notice. We will never change your price mid-term and never without notice. If you do not accept a price change you may cancel under Section 10 before it takes effect.

5.8 Taxes. All fees are exclusive of tax. Fees exclude sales, use, GST/HST, VAT and similar taxes. Where we are required to collect such a tax, it is added to your invoice at the applicable rate. You are responsible for any such taxes, other than taxes on our net income.

5.9 Disputed charges. If you believe a charge is incorrect, notify us in writing within sixty (60) days of the charge. We will investigate and correct any error promptly. Please contact us before initiating a chargeback; a chargeback filed without first contacting us does not suspend your obligations under this Agreement.

6. Late Payment, Suspension and Termination for Default

6.1 Retries and reminders. If a payment fails, our payment processor may automatically re-attempt it, typically on or about days 1, 3 and 7 after the failure. We will also attempt to notify you. An automated processor cancellation does not itself terminate this Agreement or your obligations under it.

6.2 Suspension at day 14. If an amount remains unpaid fourteen (14) days after it fell due, we may suspend the Services, which may include taking your website offline and pausing content production. Suspension is reversible: once your account is current we will restore Services promptly. Suspension does not extend your Initial Term or excuse fees for the suspended period.

6.3 Termination for default at day 45. If an amount remains unpaid forty-five (45) days after it fell due, we may terminate this Agreement for default. On termination for default during an Initial Term, the Build has not been paid in full, ownership of the Build does not transfer to you (Section 8), and we may permanently remove the Build and associated files from our systems.

6.4 Amounts still owed. Termination for default does not cancel amounts already accrued and unpaid, and we may pursue them.

6.5 Reactivation. Reactivation after termination is at our discretion and may require payment of all amounts owed plus a reactivation fee at our published rate.

6.6 Your property is unaffected. Your domain and your Client Content remain yours throughout, as described in Section 8, and we will not withhold them because of non-payment.

7. Early Payoff of a Build

7.1 Right to pay off. You may pay off a Seen Web Basic or Seen Web Standard Build early at any time.

7.2 Payoff amount. The payoff amount equals the number of whole months remaining in your Initial Term multiplied by your monthly rate. This Section does not apply where you have prepaid under 5.3(b), because the Build is already paid in full.

7.3 Effect. Once the payoff is received in full, the Build is fully paid, ownership transfers to you under Section 8, and you may either continue on a month-to-month Seen Care Plan or take your website and leave under Section 10.

7.4 On request. We will provide a written payoff figure within two (2) Business Days of your request.

8. Ownership and Intellectual Property

8.1 Your domain. Your domain name is registered in your name, in an account you control, and is yours at all times. We do not register client domains in our own name and we do not hold domains as security.

8.2 Your content. Client Content is and remains yours. You grant us a non-exclusive license to host, reproduce, adapt, publish and display Client Content solely as needed to provide the Services, for as long as we provide them.

8.3 The Build — licensed until paid. Until your Build is paid in full, the Build remains the copyrighted property of Seen Always and is licensed to you for use only while your account is active and in good standing. That license is non-exclusive, non-transferable, and limited to your own business use.

8.4 Transfer on full payment. Ownership of the completed Build transfers to you automatically once the Build is paid in full, with no further action, notice or fee. The Build is paid in full on the earliest of:

(a) the end of the Initial Term, where you are billed monthly;

(b) receipt of an early payoff under Section 7; or

(c) where you prepaid under Section 5.3(b), the later of the date that payment is processed and the date we publish your Build.

From the point of transfer the Build is yours to keep, host, move or modify. This transfer excludes third-party components and our general tools described in 8.6.

8.5 Deliverables other than the Build. Social posts, videos, articles, graphics and similar deliverables become yours on publication and on payment of the month in which they were produced. Terms specific to each service are in the Schedules.

8.6 Our tools and third-party components. Our underlying tools, component libraries, templates, frameworks, processes and know-how remain ours. Third-party software, themes, plugins, fonts, and stock assets remain the property of their owners and are provided to you under their own licenses; where a license is not transferable you may need your own.

8.7 Portfolio and publicity. Unless you tell us otherwise in writing, we may identify you as a client and display your name, logo and screenshots of work we produced for you in our portfolio and marketing. We will not publish your performance data, private business information, or a written case study about you without your prior written approval. You may withdraw this permission at any time in writing, and we will remove the material from our website within ten (10) Business Days.

8.8 Feedback. If you give us suggestions about our services, we may use them without obligation to you.

9. Protection of Unpaid Work

9.1 The rule. Because a Build is licensed and not owned until paid in full, if you copy, clone, relaunch, host elsewhere, or continue using a Build after your license has ended and before the Build is paid off, you are using our copyrighted property without a valid license.

9.2 Our remedies. In that event we may, in addition to any other remedy: (a) issue a notice under the Digital Millennium Copyright Act (17 U.S.C. § 512) to the host or platform where the unpaid work appears, requesting removal; (b) suspend or terminate the license; and (c) pursue amounts owed under this Agreement.

9.3 Limits on this Section. This Section applies only to work that has not been paid for. It does not apply once the Build is paid in full and ownership has transferred, and it does not apply to Client Content, which is always yours.

10. Cancellation

You may cancel any month-to-month Plan at any time. Cancellation must be in writing — an email to hello@seenalways.com is sufficient — and takes effect at the end of the billing period in which we receive it.

10.2 Plans with an Initial Term. You may cancel a Plan with an Initial Term at the end of that term with written notice, or earlier as follows:

(a) Seen Web — by paying off the Build under Section 7. Because the Build is delivered before it is paid for, the full remaining balance of the Initial Term is payable on early cancellation, calculated as set out in Section 7.2.

(b) Seen SEO within its three-month Initial Term — by paying the remaining months of that term.

(c) Any Plan on an Annual Term elected under Section 4.7 — under Section 10.8.

(d) A bundle — under Schedule D4.

10.3 Handover. Within five (5) Business Days of a valid written cancellation we will provide an export of your website files and Client Content, assist with transferring or delegating your domain, and relinquish any access we hold to your accounts. There is no transfer fee and no handover fee.

10.4 What stops. Hosting, security, backups, edits, content production, posting and all other Services stop at the end of the paid period. Because your website will no longer be hosted by us, arranging replacement hosting is your responsibility, and we are not responsible for downtime after cancellation.

10.5 Prepaid amounts. Cancellation does not entitle you to a refund of amounts already billed or prepaid for the current period or Initial Term, except as required by law or as expressly provided in this Agreement.

10.6 Our right to cancel. We may cancel a month-to-month Plan on thirty (30) days’ written notice. We may terminate immediately if you materially breach this Agreement and do not cure within ten (10) Business Days of written notice, or immediately and without notice if you use the Services unlawfully, direct abusive conduct at our people, or ask us to do something that would breach Section 15 or Section 16.

10.7 If we cancel without cause. If we cancel a Plan under 10.6 without cause and you are in good standing, we will refund the unused portion of any prepaid period, and if you are mid-Initial-Term on a Build we will transfer ownership of the Build to you at no further cost.

10.8 Canceling an Annual Term. This Section applies to Seen Care, Seen Social and Seen SEO Plans on an Annual Term elected under Section 4.7, and to the required twelve (12) month Seen Care Pro term under Schedule A2.4. It does not apply to Seen Web Plans, which are governed by Sections 7 and 10.2, or to bundles, which are governed by Schedule D4.

(a) Cancellation must be in writing and takes effect at the end of the billing period in which we receive it.

(b) Because an Annual Term is billed monthly in advance, no future months are payable on cancellation and no refund arises.

(c) The discount you received for electing the Annual Term becomes repayable for the months already served. That amount is the difference between the standard monthly rate for your Plan and the discounted Annual Term rate, multiplied by the number of months served, and is charged to your payment method on cancellation.

(d) We will tell you the figure in writing before charging it.

(e) Deliverables already produced and published remain yours under Section 8.5 and Schedule B5.

Example: Seen Care Basic on an Annual Term at $32 per month, where the standard monthly rate is $39, canceled after five months served — $7 × 5 = $35 repayable.

11. Your Responsibilities

11.1 Cooperation. You agree to provide accurate business information, the Client Content and access we reasonably request in writing, and to respond to requests for approval or information in a timely way.

11.2 Rights in what you supply. You represent that you own or are licensed to use all Client Content, that our use of it as contemplated will not infringe any third party’s rights, and that it is lawful and not defamatory.

11.3 Payment method. You agree to keep a valid payment method on file and to update it before it expires.

11.4 Lawful use. You agree to use the Services and any work product lawfully, and not for any business or content that is illegal in Wisconsin or in your jurisdiction.

11.5 Business purposes. You represent that you are entering this Agreement for business purposes and not as a consumer, and that the person accepting it has authority to bind you.

11.6 Regulated industries. If your business is subject to industry-specific advertising, privacy or professional-conduct rules — for example healthcare, home care, financial services or legal services — you are responsible for telling us what those rules require and for approving published material against them. We will follow reasonable instructions you give us, but we are not your compliance adviser.

12. Timelines, the Launch Clock, and Delays

This Section is the mechanism behind the launch commitment in Section 13. It exists so that a delay is never a surprise.

12.1 When the clock starts. The Launch Date is calculated from the later of (a) the date your first payment is processed and (b) the date you are Content Complete. Turnaround for each Plan is stated in Schedule A and is expressed in Business Days.

12.2 What we will tell you. When you accept this Agreement we will send a written list of what we need from you. When we have all of it and your first payment has cleared, we will confirm in writing that your clock has started and state your Launch Date.

12.3 Client-caused delay. If we are waiting on something from you — content, approval, access, or a decision — the Launch Date extends by the period we are waiting. We will notify you in writing on the same Business Day we begin waiting, identify what is outstanding, and state the revised Launch Date. The commitment in Section 13.2 then applies to that revised date.

12.4 No silent extensions. We will not accumulate delays and present them at the end. If we fail to notify you of a delay at the time it occurs, that delay does not extend the Launch Date and the commitment in Section 13.2 continues to apply to the date last confirmed in writing.

12.5 Approval by default. Where a Schedule sets a window for your approval and you do not respond within it, we may proceed as drafted so that your Services do not stall. We will always tell you the window when we send something for approval.

12.6 Scope changes. If you ask for work outside your Plan during a build, we will quote it and, if the timeline is affected, give you a revised Launch Date in writing before starting.

12.7 Prolonged client delay. Where you have not reached Content Complete within sixty (60) days of accepting this Agreement, and we have requested the outstanding items from you in writing on at least two (2) occasions, then:

(a) your Plan continues to be billed and your Initial Term continues to run — your delay does not extend it;

(b) we may offer to publish a starter version of your website using the materials we hold, which does not discharge our obligation to complete your Build once you are Content Complete; and

(c) where you have not reached Content Complete within one hundred and eighty (180) days of acceptance, we may close the Build. You remain liable for the Plan fees for the Initial Term, no refund arises, and we will restart the Build on your written request and payment of our then-published restart fee.

This Section does not apply where we are the cause of the delay, and it does not apply unless we have made the two written requests described above.

12. Service Agreement

The following commitments apply to the Plans that include them, as stated in the Schedules.

Important: The remedies in this Section are your sole remedies for the situations they describe.
CommitmentStandardIf We Miss It
13.1 Human reply A response from a real person within one (1) Business Day of your request. We will tell you why and respond as soon as possible. This commitment carries no separate credit.
13.2 On-time launch Your Build published on or before the Launch Date confirmed under Section 12.
We will add one additional Standard Page to your website at no charge, on request. This applies once per Build.

On Seen Web Pro, in place of an additional page we will credit one month of your Seen Care Pro fee.
13.3 Small Edit turnaround Included Small Edits completed within two (2) Business Days of our receiving complete instructions.
That Small Edit does not count against your Allowance for the month.

(a) your Plan continues to be billed and your Initial Term continues to run — your delay does not extend it;

13A. Acceptance of Work

13A.1 Review on delivery. When we deliver a website, page, article, video, post or other deliverable for your review, please check it and tell us about anything that is wrong or missing.

13A.2 Deemed acceptance. A deliverable is treated as accepted when you approve it, when you begin using it, or ten (10) Business Days after we deliver it if you have not raised anything in writing — whichever happens first.

13A.3 Correcting errors after acceptance. Acceptance does not stop us fixing our own mistakes. If we made an error we will correct it at no charge under Section 17.2 whenever you find it. What acceptance does is fix the agreed scope, so that later requests for different or additional work are treated as new work rather than as a defect.

14. Allowances — Expiry and Make-Good

This Section deliberately separates two different situations that are often confused.

14.1 Unused Allowance expires. Where an Allowance goes unused in a month because you did not request it, did not approve it, or did not supply what was needed, that Allowance is consumed and does not carry over, accrue, or convert to a refund or credit. We reserve and staff the capacity whether or not it is used, and that reservation is what your fee buys.

14.2 Undelivered work never expires. Where an Allowance goes unused because we failed to produce or deliver, that is a service failure and not an allowance question. We will deliver it late or credit it — always made good, with no time limit.

14.3 Platform lockout. Where a suspension, credential failure or access problem on your side prevents us from delivering, we will track the affected Allowance and make it good once access is restored, up to a maximum of thirty (30) days’ worth.

14.4 Deliberate pause. If you want to pause rather than cancel, use hibernation where offered for your Plan. Allowances do not accrue during a pause.

14.5 Consistent overage. If you regularly need more than your Allowance, we will tell you and recommend a Plan that fits rather than silently absorbing or silently declining the work.

15. Third-Party Costs and Advertising Spend

15.1 What we absorb. Hosting, our security and backup tooling, standard software, standard stock licensing and our production tools are included in your fees.

15.2 What you pay directly. The following are always purchased in your name, on your payment method, directly from the vendor: domain registration and renewal; all paid advertising and boosted-post spend; premium third-party subscriptions such as booking systems, e-commerce platforms, payment gateways, CRMs and paid stock libraries; and any premium license for a specific image, font or footage you request.

15.3 We do not front costs. We will not pay a third-party cost on your behalf and invoice you for it. If a cost is yours, you pay the vendor.

15.4 Advertising spend. Where we manage boosted posts or advertising, the ad account and the payment method on it are yours. You set the budget. We are paid for the management labour only and take no share of, or markup on, spend. We are not responsible for platform decisions, ad disapprovals, or account suspensions imposed by the advertising platform.

15.5 Payment processing. Where your website takes payment, the payment processor account is yours and in your name. Processing fees charged by that processor are yours. We are not a payment processor and do not handle, hold or have access to your customers’ funds.

15.6 Renewals. We may monitor and remind you of domain and subscription renewal dates as a courtesy. Keeping them paid is your responsibility, and we are not liable for a lapse.

16. Authenticity, Credentials and Acceptable Content

These rules are not negotiable, in either direction. They protect you as much as us.

16.1 No misrepresentation of your business. We will never present a stock image, stock footage, or AI-generated asset as your real customer, your real staff, your real premises, or an actual result you achieved. Stock and AI-generated material is used only for decorative, conceptual, illustrative and background purposes.

16.2 AI-generated people and voices. We will not generate a synthetic person and present them as your owner, staff or customer. AI narration may be used only as unattributed voice-over, never presented as the voice of a named individual. Where a real person, place or result is depicted, we will use material you supply.

16.3 No artificial engagement. We will not purchase followers, likes, reviews or engagement, generate fake reviews or testimonials, or use any technique intended to simulate genuine audience response.

16.4 No prohibited search practices. We will not purchase links, use private blog networks, or employ concealment or manipulation techniques that risk a penalty against your domain.

16.5 If you ask us to breach these rules. If you instruct us to do anything in 16.1 through 16.4, we will decline. A repeated instruction to do so is a material breach of this Agreement and we may terminate under Section 10.6.

16.6 Credentials. Where you give us access to your accounts, we will: use delegated or business-manager access rather than shared passwords wherever the platform supports it; store any credentials only in an access-controlled password manager and never in plain text, email or SMS; require multi-factor authentication on accounts we can access, with recovery held by you; and relinquish all access within five (5) Business Days of cancellation.

16.7 Your obligations on access. You will provide access only through accounts you own, will not share another party’s credentials with us, and will notify us promptly if you believe any access should be revoked.

16.8 Security incidents. If we become aware of unauthorised access to your accounts or data through our systems, we will notify you without undue delay and in any event within seventy-two (72) hours of becoming aware, tell you what we know, and cooperate with your response.

16.9 Data protection. We will use personal data you provide only to deliver the Services, will not sell it, and will apply reasonable technical and organizational safeguards. Where you collect personal data through a website we operate for you, you are the controller of that data and responsible for your own privacy notice and lawful basis for collection.

17. Warranties and Disclaimers

17.1 Our warranty. We warrant that we will perform the Services in a professional and workmanlike manner, consistent with generally accepted industry standards, using suitably skilled personnel.

17.2 Remedy for breach of warranty. If we breach 17.1, tell us within thirty (30) days of discovering it and we will re-perform the affected work at no charge. This is your exclusive remedy for breach of that warranty.

17.3 Disclaimer.

EXCEPT FOR THE EXPRESS WARRANTY IN SECTION 17.1, THE SERVICES AND ALL DELIVERABLES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND SEEN ALWAYS DISCLAIMS ALL OTHER WARRANTIES, CONDITIONS AND REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

17.4 No guarantee of results. We do not guarantee, and nothing in this Agreement or in our marketing should be read as guaranteeing, any specific search ranking, traffic level, engagement rate, number of inquiries, conversion rate, revenue or business outcome. These depend on your market, your competitors, your pricing, your service, and the independent decisions of search engines and social platforms.

17.5 Third-party platforms. We do not control and are not responsible for the availability, policies, algorithm changes, pricing or decisions of third-party platforms including search engines, social networks, hosting providers, registrars and payment processors.

17.6 Uptime. We aim for high availability but do not warrant uninterrupted or error-free operation. Scheduled maintenance, third-party outages and force majeure events may cause downtime.

18. Limitation of Liability

18.1 Excluded damages. To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, lost business opportunity or loss of goodwill, even if advised of the possibility.

18.2 Liability cap. Our total aggregate liability for all claims arising out of or relating to this Agreement will not exceed the greater of (a) the total amounts you paid us in the three (3) months immediately before the event giving rise to the claim, or (b) five hundred United States dollars ($500).

18.3 What the cap does not limit. Nothing in this Section limits either party’s liability for fraud, fraudulent misrepresentation, wilful misconduct, or any liability that cannot lawfully be limited. It does not limit your obligation to pay fees due, or your indemnity under Section 19.

18.4 All theories of liability. The exclusions and the cap in this Section apply regardless of the legal theory on which a claim is based — whether contract, warranty, tort (including negligence), strict liability, statute or otherwise — and apply to Seen Always and to its owners, members, employees, contractors and suppliers.

18.5 Aggregate, not per claim. The cap in 18.2 is an aggregate cap across all claims, not a separate cap for each claim, and it includes any defence costs and legal fees we are ordered to pay. Multiple claims do not increase the cap.

18.6 Essential purpose. The exclusions and cap in this Section apply even if any limited remedy in this Agreement is found to have failed of its essential purpose.

18.7 Duty to mitigate. Each party will take reasonable steps to mitigate its losses. Neither party is liable for loss the other could reasonably have avoided.

18.8 Basis of the bargain. You acknowledge that our fees are set on the basis of this allocation of risk, that the fees would be materially higher without it, and that these limitations are a material inducement to us entering this Agreement. They survive termination and apply even if you were not aware of them at the time of acceptance, provided this Agreement was made available to you before acceptance.

18.9 Time limit on claims. Any claim under this Agreement must be brought within one (1) year after the cause of action accrues, or it is permanently barred, except where a longer period is required by law.

19. Indemnification

19.1 By you. You will defend, indemnify and hold harmless Seen Always and its owners, members, employees and contractors from claims, damages, losses, liabilities and reasonable expenses (including reasonable attorneys’ fees) arising from: (a) Client Content, including any claim it infringes a third party’s rights; (b) your instructions where we followed them; (c) your use of the Services or of any deliverable; (d) your breach of this Agreement or of any law; or (e) your failure to meet an industry-specific compliance obligation under Section 11.6.

19.2 By us. We will defend, indemnify and hold harmless you from third-party claims that a deliverable we originally created for you infringes that third party’s copyright or trademark.

19.3 Limits on our indemnity. Clause 19.2 does not apply to a claim arising from: (a) Client Content or anything you supplied or specified; (b) third-party software, themes, plugins, fonts, stock assets or platforms; (c) any modification of our deliverable made by you or anyone other than us; (d) use of a deliverable outside the purpose for which it was supplied, or after we notified you to stop using it; or (e) your combination of a deliverable with anything we did not provide.

19.4 Our options and sole remedy. If a claim under 19.2 arises, we may at our option modify the deliverable, replace it with a functionally equivalent one, or obtain the right for you to continue using it. If none of those is commercially reasonable, we may remove the affected material and refund the fees you paid for it. Clauses 19.2 to 19.4 state your sole and exclusive remedy for any claim of intellectual property infringement, and our liability under them is subject to the cap in Section 18.2.

19.5 Process. The party seeking indemnity will notify the other promptly in writing, allow the indemnifying party to control the defence and settlement (provided no settlement admits fault or imposes obligations on the indemnified party without consent), and cooperate reasonably.

20. Confidentiality

20.1 Obligation. Each party may receive non-public information from the other. Each will protect the other’s confidential information with at least reasonable care, use it only to perform under this Agreement, and not disclose it to third parties except to employees, contractors and advisers who need it and are under similar obligations.

20.2 Exclusions. This does not apply to information that is or becomes public without breach, was known before disclosure, is independently developed, or is lawfully received from a third party.

20.3 Required disclosure. A party may disclose confidential information where required by law or court order, giving the other prompt notice where lawful to do so.

20.4 Duration. These obligations continue for three (3) years after the Services end, and indefinitely for anything that constitutes a trade secret.

21. Non-Solicitation of Personnel

21.1 During the term and for twelve (12) months afterwards, neither party will knowingly solicit for employment any employee or contractor of the other who was directly involved in the Services, without the other’s written consent. This does not restrict general public job advertisements or hiring someone who responds to one.

22. Dispute Resolution, Governing Law and Venue

22.1 Talk first. Before starting legal proceedings, the parties will attempt in good faith to resolve the dispute by discussion for at least thirty (30) days after written notice of it. This does not prevent either party seeking urgent injunctive relief, or us acting under Section 6 or Section 9.

22.2 Governing law. This Agreement is governed by the laws of the State of Wisconsin, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

22.3 Venue. Any dispute will be brought exclusively in the state or federal courts located in or serving Ozaukee County, Wisconsin, and each party irrevocably consents to that jurisdiction and venue and waives any objection based on inconvenient forum. This applies regardless of where you are located, including outside the United States.

22.4 Fees. In any action to enforce this Agreement, the prevailing party is entitled to recover its reasonable attorneys’ fees, costs and expenses.

22.5 Jury waiver. To the fullest extent permitted by law, each party waives any right to trial by jury in any proceeding arising out of this Agreement.

22.6 No class proceedings. Each party agrees to bring claims only in its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

23. General

23.1 Entire agreement. This Agreement, together with the applicable Schedules, your Service Order and any separately agreed written scope, is the entire agreement between the parties and supersedes all prior discussions, proposals and representations. Marketing material, website copy and sales conversations do not form part of this Agreement, except that we will not rely on this clause to contradict a specific commitment stated in Section 13 or in a Schedule.

23.2 Order of precedence. If there is a conflict: (1) a separately signed written scope for a specific project; then (2) your Service Order; then (3) the applicable Schedule; then (4) these Core Terms.

23.3 Amendments. Changes must be in writing and agreed by both parties, except (a) price changes after an Initial Term or Annual Term under Section 5.7, and (b) revisions to a future version of this Agreement, which apply to you only if you accept them or renew after notice of them.

23.4 No waiver. A failure or delay in enforcing a right is not a waiver of it, and a single or partial exercise does not prevent further exercise.

23.5 Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be, and the rest of the Agreement remains in effect.

23.6 Assignment. You may not assign this Agreement without our written consent, except to a successor of your business that assumes your obligations, with notice to us. We may assign it in connection with a merger, acquisition or sale of our business or assets.

23.7 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disaster, fire, flood, epidemic, war, civil unrest, labour action, government action, utility or internet failure, or third-party platform outage. The affected party will notify the other promptly and resume as soon as practicable. This does not excuse payment obligations for Services already delivered.

23.8 Independent contractor. We are an independent contractor. Nothing here creates an employment, partnership, joint venture, franchise or agency relationship, and neither party may bind the other.

23.9 Notices. Notices to us go to hello@seenalways.com. Notices to you go to the email address on your Service Order. Email notice is effective on the Business Day sent, or the next Business Day if sent outside business hours. Keep your email address current.

23.10 Survival. Sections 5 (as to amounts accrued), 8, 9, 13A, 16.8, 17, 18, 19, 20, 21, 22 and 23 survive termination or expiry.

23.11 No third-party beneficiaries. This Agreement benefits only the parties and their permitted successors.

23.12 Headings and interpretation. Headings are for convenience only. “Including” means “including without limitation.” Neither party will be disadvantaged in interpretation by having drafted the Agreement.

23.13 Counterparts. This Agreement may be accepted in counterparts and by electronic means, each of which is an original.

23.14 Language. This Agreement is made in English, and English governs its interpretation.

24. Acknowledgement

By accepting this Agreement you confirm that: you have had the opportunity to read it; you have authority to bind the business named on the Service Order; you are entering it for business purposes; and you authorise the charges described in Section 5. You also acknowledge that Seen Always makes commitments about its work and responsiveness, and makes no guarantee of business results.

  • Fully custom design, strategy and copywriting per the agreed scope
  • The ninety (90) day Build Warranty in A1.5
  • Payment 50% at acceptance and 50% before publication

Launch periods run from the date your clock starts under Core Terms 12.1 — the later of first payment processed and Content Complete.

Launch periods run from the date your clock starts under Core Terms 12.1 — the later of first payment processed and Content Complete.

A1.1 Page counts. Page counts refer to Standard Pages as defined in Core Terms 1.11. Additional pages are available at our published rate and are quoted before work begins.

A1.2 Revisions. Seen Web Standard includes two rounds of revision during the build. A “round” means one consolidated set of change requests. Further rounds are billed as Small Edits.

A1.3 Transition at end of term. On completion of the Initial Term, Seen Web Basic continues as Seen Care Basic and Seen Web Standard continues as Seen Care Standard, at the then-current standard monthly rate. Nothing is added and nothing is removed at this transition; only the price changes. Seen Web Pro does not transition in this way: a Seen Care Pro Plan runs alongside it from publication under A2.4.

A1.4 Prepayment. Seen Web Basic and Seen Web Standard may be prepaid for the Initial Term at the published prepayment price under Core Terms 5.3(b). Prepayment does not change the Initial Term, the inclusions, or the launch commitment.

A1.5 Build Warranty. For ninety (90) days after we publish your Build, we will correct at no charge any defect in work we built that does not perform as set out in your Service Order or agreed project scope. Work done under the Build Warranty does not count against any Allowance. The Build Warranty is not a Seen Care Plan and does not include changes to scope, new content, new pages, new features, or Functionality. It does not cover faults caused by changes you or a third party make to the Build, or by a third-party service, platform or plugin we do not control. The Build Warranty applies to every Seen Web Plan.

A2. Seen Care Plans

PlanTermIncluded
Seen Care Basic Month to month, or an Annual Term under Core Terms 4.7 Hosting; security monitoring; daily backups; software and plugin updates; one Small Edit per month; professional email forwarding; the local search foundation in A3.1.
Seen Care Standard Month to month, or an Annual Term under Core Terms 4.7 Everything in Basic; four Small Edits per month; telephone support; a monthly Seen Report; the local search foundation in A3.1 and A3.2.
Seen Care Pro Twelve (12) months where it follows a Seen Web Pro Build under A2.4; otherwise month to month, or an Annual Term under Core Terms 4.7. Everything in Standard; six Small Edits per month; Priority Support as defined in Schedule D1.1; a staging environment in which changes are reviewed before they go live; a quarterly review call.

A2.1 No minimum. Seen Care Basic and Seen Care Standard have no Initial Term. They are billed monthly in advance and you may cancel at any time under Core Terms 10.1. We do not require a commitment on those Plans because care is delivered month by month, after payment for that month. Seen Care Pro has no Initial Term either, except where it follows a Seen Web Pro Build under A2.4.

A2.2 Annual Term option. You may elect an Annual Term under Core Terms 4.7 in exchange for the published discounted rate, billed monthly. Canceling early is governed by Core Terms 10.8.

A2.3 Following a Build. Where a Seen Care Plan follows the Initial Term of a Seen Web Plan under Core Terms 4.5, it continues month to month at the then-current standard monthly rate unless you elect an Annual Term at that point.

A2.4 Seen Care Pro following a Seen Web Pro Build. Where you purchase Seen Web Pro, a Seen Care Pro Plan is required and forms part of that purchase. It commences on the date we publish your Build and runs for an Initial Term of twelve (12) months. Seen Care Pro is quoted per project and is not sold at a published rate: your Service Order states both the standard monthly rate and the committed rate you pay in exchange for accepting the twelve-month term. If you cancel before that Initial Term ends, Core Terms 10.8 applies and you repay only the difference between those two rates for the months you were served — never the remaining months. On completion of that Initial Term, Seen Care Pro continues month to month at the rate stated in your Service Order unless you elect an Annual Term at that point.

A2.5 Seen Care Pro and Functionality. Seen Care Pro covers the website itself. Where your Build includes Functionality as defined in Core Terms 1.12, the monthly Functionality fee under Schedule A8 is separate and additional. Neither fee duplicates the other: Seen Care Pro does not include Functionality upkeep, and the Schedule A8 fee does not include the care inclusions listed above.

A3. The Local Search Foundation

Included in Seen Care and therefore in every Seen Web Plan during its Initial Term. This is configuration work, not competitive search work. Content production and competitive ranking work are Seen SEO, under Schedule C.

A3.1 Included at Seen Care Basic and above

  • Google Business Profile claimed, verified and optimized in your name, and monitored for changes.

A3.2 Additionally included at Seen Care Standard

  • Local directory listings established and kept consistent — including Bing Places, Apple Business Connect, and relevant industry directories.
  • On-page optimization of the pages of your website — titles, descriptions, headings and internal structure.
  • Technical search setup — sitemap, indexing, and Google Search Console configuration.
  • Keyword position tracking, reported in your monthly Seen Report.

A3.3 What the foundation is not. The foundation is configuration. It does not include producing articles, building new pages to target searches, link development, or ongoing competitive work. It carries no ranking commitment of any kind — see Core Terms 17.4.

A3.4 Ownership. Every profile, listing and account created as part of the foundation is created in your name and remains yours.

A4. Hosting, Security and Backups

A4.1 Hosting. While you are on a Seen Web or Seen Care Plan we host your website on infrastructure we select. Hosting stops at the end of your paid period following cancellation.

A4.2 Backups. We take daily backups and retain them for at least thirty (30) days. On request we will restore the most recent working backup at no charge. If a restoration is needed because of something you or a third party did, we will restore it and may charge for time beyond thirty minutes at our published rate.

A4.3 Limits on backups. Backups cover the website we host for you. They do not cover your email, your social accounts, or data held on third-party platforms. Please keep your own copies of original content, photographs and logos — we hold working copies, not an archive of record. Where a backup cannot be restored because of a third-party platform or hosting failure, we will do what we reasonably can and our liability is as set out in Core Terms 18.

A4.4 Security. We apply security monitoring, keep software updated, and act promptly on vulnerabilities we become aware of. We do not warrant that your website cannot be compromised. If it is, we will restore from backup and remediate as part of your Plan.

A4.5 Acceptable use. Hosting is for a normal small-business website. It does not cover file distribution, bulk email sending, cryptocurrency operations, or traffic volumes materially beyond ordinary small-business levels. If your usage requires additional resources we will tell you and quote the difference before making any change.

A4.6 Your own hosting. Once you own your Build you may host it anywhere. If you move it, our care obligations end at that point unless we agree otherwise in writing.

A5. Domain and Email

A5.1 Domain. Your domain is registered in your name, in an account you control, paid on your payment method, with access delegated to us. We will help you set this up. We will not register your domain in our own account.

A5.2 Email forwarding. Included in all Plans: forwarding at your domain with send-as capability, plus SPF, DKIM and DMARC records for deliverability.

A5.3 Mailboxes. Hosted mailboxes are not included. We will set up Google Workspace or Microsoft 365 in your own tenant for a one-time setup fee at our published rate; the provider bills you directly. We will not host your email inside an account we own.

A6. Takeover of an Existing Website

A6.1 Compatibility review first. Before taking over an existing website we will review it and give you an honest assessment. The review is a genuine assessment and not a commitment to take the site over.

A6.2 If we take it over as-is. We onboard it to the applicable Seen Care Plan. Because we did not build it, we do not warrant its design, code quality or third-party components, and Core Terms 17.1 applies only to work we perform on it from that point.

A6.3 If it needs rebuilding. We will quote the work separately. You decide before any commitment.

A6.4 Pre-existing problems. We are not responsible for defects, security issues, licensing gaps or search penalties that existed before takeover, though we will tell you what we find.

A7. Images and Media

A7.1 Included. Professionally sourced licensed stock imagery, standard AI-assisted decorative visuals, basic retouching of photographs you supply.

A7.2 Not included. A professional photography or videography session of your real people, premises or work; and any premium or extended license for a specific asset you request, the cost of which is yours under Core Terms 15.2.

A7.3 Authenticity. Core Terms 16.1 and 16.2 apply to all imagery and media on your website.

A8. Website Functionality

A8.1 Not included in any Plan. Functionality as defined in Core Terms 1.12 — taking payment, selling products, booking or scheduling, customer logins, subscriptions, and connections to other software — is not included in any Seen Web or Seen Care Plan and is not a Standard Page.

A8.2 How Functionality is priced. Functionality is quoted in writing and agreed before work begins. Each item carries:

(a) a one-time build fee, payable before that work begins and separate from your Plan payments; and

(b) a monthly Functionality fee, which begins in the month the Functionality goes live and continues for as long as it remains on your website.

A8.3 The monthly fee is separate from your Plan. The monthly Functionality fee is additional to your Seen Web or Seen Care fee. It does not reduce or end when a Seen Web Initial Term ends under Core Terms 4.5. It covers keeping the Functionality working — updates, compatibility, and support — which is ongoing work.

A8.4 What the fee does not cover. Third-party costs for Functionality are yours under Core Terms 15.2 — including payment processing fees, plugin and application licenses, and subscriptions to booking, e-commerce or similar platforms.

A8.5 Removal. If you ask us to remove Functionality from your website, the monthly fee stops at the end of the billing period in which we remove it. One-time build fees already paid are not refundable.

A8.6 Which Plans support which Functionality. Some Functionality requires a custom build. Where that is the case we will tell you at quoting stage and the work proceeds as Seen Web Pro under A1.

Schedule B — Seen Social

Applies if your Service Order includes a Seen Social Plan (Starter, Basic, Standard or Pro), or a bundle containing one.

B0. Term of Seen Social

B0.1 No minimum. Seen Social has no Initial Term. You may buy it month to month at the published standard monthly rate and cancel at any time under Core Terms 10.1. We do not require a commitment for social work because the work is produced and delivered month by month, after payment for that month.

B0.2 Annual Term option. You may elect an Annual Term under Core Terms 4.7 in exchange for the published discounted rate, billed monthly. The Annual Term is available on all four Plans. There is no prepayment option.

B0.3 At the end of an Annual Term. The Plan continues month to month at the same discounted rate under Core Terms 4.7(e). Your price does not rise at the end of an Annual Term.

B0.4 Canceling an Annual Term. Core Terms 10.8 applies.

B0.5 Changing Plans. You may move between Seen Social Plans at any time on written request, effective from the next monthly content calendar. Where you are on an Annual Term, the Annual Term continues at the rate for the new Plan and its end date does not change.

B1. Plans and Monthly Allowances

PlanPlatformsStaticVideoAlso Included
Starter131 Content written, designed, produced, scheduled and published. Monthly content calendar for approval.
Basic242 Everything in Starter, plus Google Business Profile posts and review monitoring with alerts.
Standard363 Everything in Basic, plus editing of footage you supply, comment and direct-message response during business hours, and one blog or newsletter piece per month.
Pro484 Everything in Standard, plus one premium scripted video per month, review responses written and published, one boosted-post setup per month, and a quarterly strategy call.

B1.1 Counts are monthly and are Allowances. Core Terms 14 governs expiry and make-good. No element of Seen Social is unlimited.

B1.2 Video counts within the total, not in addition. A Starter month is four posts of which one is video — not four posts plus a video.

B1.3 Platform choice is yours. Your Plan sets how many platforms; you choose which, from Facebook, Instagram, LinkedIn, Google Business Profile, X, Pinterest and TikTok. You may change your selection once per quarter on written request.

B1.4 Video types by Plan. Starter: branded motion graphics. Basic: motion graphics or stock-footage reels with captions. Standard: the above plus editing of footage you supply. Pro: the above plus one premium multi-clip scripted piece with voice-over per month.

B1.5 Runtime guidance. Motion graphics 10–20 seconds; edits of your footage up to 60 seconds; premium pieces up to 90 seconds. Longer pieces are quoted separately.

B2. Content Mix and the Video Swap

B2.1 Standard mix is the default. Every Plan includes video as set out in B1.

B2.2 Your right to swap. If video is not right for your business you may convert video slots to static posts one for one, at any time, on written request, at no change to your price. Static posts may not be converted into video; additional video is available at our published rates.

B2.3 How it applies. A swap applies from the next monthly content calendar and continues until you tell us otherwise.

B3. How a Month Runs

WhenWhat happens
By the 25th We send you next month's content calendar for approval, together with a short shoot list where your Plan includes editing of your own footage.
Within 5 Business Days You approve the calendar or request changes. One round of revision to the calendar is included; further rounds are billed as Small Edits. If you do not respond within five Business Days, we will publish as drafted so that your presence does not go quiet. We will state the deadline each time we send a calendar.
By the 15th Where your Plan includes editing of your own footage, you send clips. If footage is not received by the 15th, that slot converts to a motion graphic for that month and does not carry over.
Throughout We publish on the approved schedule. Where your Plan includes engagement, we respond to comments and direct messages the same Business Day during business hours, Monday to Friday.

B3.1 Revisions to individual posts. One round of revision per post is included. Further revisions are billed as Small Edits.

B3.2 Urgent and time-sensitive posts. We will accommodate reasonable urgent requests where we can, within your Allowance. We do not commit to same-day publication of unplanned content.

B4. Your Accounts

B4.1 Created in your name. Your social accounts are created in your name, on an email address you control, with delegated or business-manager access granted to us. We will not create or hold a social account for you inside a profile we own.

B4.2 You keep everything. You retain ownership of every account, every follower and every published post at all times, including after cancellation. We have no ability and no right to take an audience with us.

B4.3 Access removal. Within five (5) Business Days of cancellation we relinquish all access. Accounts are untouched.

B4.4 Existing accounts. Where you already have accounts, we work within them under delegated access. We are not responsible for the prior state of an account, its audience, or any penalty or restriction predating our access.

B5. Content Ownership and Cancellation

B5.1 Ownership. Content we produce for you becomes yours on publication and on payment of the month in which it was produced.

B5.2 Unpublished content on cancellation. Content that has been produced but not yet published at the end of your paid period will be delivered to you as files within five (5) Business Days. It will not be published after your paid period ends.

B5.3 Scheduled posts. We will remove or hand over scheduled-but-unpublished posts at your direction. If you give no direction, we remove them from the schedule and deliver the files.

B6. What Seen Social Is Not

B6.1 No engagement or growth commitment. We commit to producing and publishing the content in your Plan, on schedule, to a professional standard. We do not commit to follower growth, reach, impressions, engagement rate, or leads, which depend on platform algorithms, your market and your audience. Core Terms 17.4 applies.

B6.2 Starter in particular. Seen Social Starter is designed to keep your business visibly active. It is not a growth program and should not be purchased as one.

B6.3 Platform decisions. We are not responsible for content removals, account restrictions, reach limitations or policy changes imposed by a platform.

B6.4 Authenticity. Core Terms 16.1 through 16.5 apply in full to all social content. We will not buy followers or engagement, generate fake reviews, or present synthetic people as your team or customers.

B7. Boosted Posts and Advertising

B7.1 Available as management only. Where you purchase Boost Management, or where your Plan includes a boosted-post setup, we handle targeting, setup and reporting.

B7.2 Spend is always yours. The advertising account and the payment method on it are yours. You set the budget. We take no share of and add no markup to advertising spend, and we will not front it. Core Terms 15.4 applies.

Schedule C — Seen SEO

Applies if your Service Order includes Seen SEO Basic or Standard, or a bundle containing one.

C1. Prerequisite and Term

C1.1 An active Plan is required. Seen SEO is available only alongside an active Seen Web or Seen Care Plan. We need control of the website to publish and optimize, and you need the monthly reporting history to see whether the work is moving anything. If your Seen Web or Seen Care Plan ends, Seen SEO ends with it.

C1.2 Three-month Initial Term. Seen SEO has an Initial Term of three (3) months. After that it continues month to month until canceled under Core Terms 10.

C1.3 Why there is a minimum. Search work cannot produce meaningful movement inside a single month. We set a minimum term rather than sell you a month that cannot deliver. If you would prefer not to commit for three months, tell us and we will recommend against buying this service.

C1.4 Annual Term option. Separately from the three-month Initial Term, you may elect an Annual Term under Core Terms 4.7 in exchange for the published discounted rate, billed monthly. Electing an Annual Term does not remove the prerequisite in C1.1: if your Seen Web or Seen Care Plan ends, Seen SEO ends with it, and Core Terms 10.8 applies.

C1.5 The minimum is not a discount term. The three-month Initial Term applies whether or not you elect an Annual Term. It exists for the reason stated in C1.3, not to recover cost.

C1.6 When billing starts. Where Seen SEO is added alongside a new Seen Web build, billing begins on the date we publish your website, not the date you sign. There is nothing to optimize before your site is live, so we do not charge for it. The three-month Initial Term runs from that same date.

C2. Plans and Monthly Deliverables

PlanContentAlso included
Seen SEO Basic1 piece/month Keyword strategy for your market; competitive position tracking; a quarterly written review.
Seen SEO Standard2 pieces/month Everything in Basic, plus up to two (2) keyword-targeted new pages per quarter for your services and locations; internal linking architecture; a quarterly strategy call.

C2.0 New pages are capped and are an Allowance. The new pages included in Seen SEO Standard are two (2) per quarter, counted by calendar quarter, and they do not roll over. Additional pages are quoted before work begins and charged at our published page rate. A new page under this Schedule is a page built to target searches; it is not a Standard Page under Schedule A and does not change your Plan’s page count.

C2.1 What a content piece is. A researched, written and published article or page of ordinarily 700–1,200 words, targeted at searches your customers use, with appropriate on-page optimization and internal linking.

C2.2 Approval. You may review each piece before publication. One round of revision per piece is included. If you do not respond within five (5) Business Days we may publish as drafted, so that the schedule does not stall.

C2.3 New pages. Pages we build under Seen SEO Standard count against the content Allowance for that month unless your Service Order says otherwise, and do not count against the page limit of your Seen Web Plan.

C2.4 Allowances. Core Terms 14 governs expiry and make-good.

C3. What This Service Is, and What It Is Not

No ranking guarantee — stated plainly

We do not guarantee any search position, any ranking improvement, any traffic level, or any number of inquiries. We cannot, and neither can anyone else honestly.

Rankings are decided by search engines applying algorithms we do not control, against competitors whose behavior we do not control. What we commit to is the work, the cadence and the reporting — the pieces produced, the pages built, the optimization performed, and honest monthly reporting of what moved and what did not.

If anyone offers you a guaranteed first-page ranking, they are either misleading you or planning to use techniques that put your domain at risk.

C3.1 Realistic timing. Foundation configuration under Schedule A typically shows measurable effect within weeks. Content-driven ranking movement typically takes three to six months, and sometimes longer in competitive markets. We will tell you honestly where we think your market sits.

C3.2 Prohibited techniques. We will not purchase links, use private blog networks, employ cloaking or keyword stuffing, or use any technique that risks a penalty against your domain — including if you ask us to. Core Terms 16.4 and 16.5 apply.

C3.3 Foundation is not this service. Google Business Profile work, local listings, on-page configuration and technical setup are included in Seen Care under Schedule A. You are not charged twice for them.

C3.4 Reporting. You receive monthly reporting of work performed and positions tracked. We report ranking changes as observations, not as delivered outcomes.

C4. Ownership of Search Content

C4.1 Yours on publication. Articles and pages we produce become yours on publication and on payment of the month in which they were produced, and they remain on your website if you cancel.

C4.2 After cancellation. We do not remove published search content when you cancel. Unpublished drafts are delivered to you as files within five (5) Business Days.

Schedule D — Bundles

Applies if your Service Order includes Seen Growth or Seen Complete.

D1. What a bundle is

D1.1 Components. A bundle is a combination of Plans sold at a single monthly price that is lower than the total of its components bought separately.

D. Bundles

BundleComponents
Seen Growth Seen Web Standard + Seen Social Standard
Seen Complete Seen Web Standard + Seen Social Pro + Seen SEO Standard, plus Priority Support under D1.1 and one monthly Campaign Asset under D1.2.

D1.1 Priority Support. Priority Support means a substantive reply from a person within four (4) business hours of your message where we receive it during business hours, and by the end of the next business morning where we do not. Priority Support applies to Seen Complete and to Seen Care Pro. All other Plans carry the one-Business-Day commitment in Core Terms 13.1.

D1.2 Campaign Asset. A Campaign Asset is one of the following each month, at your choice:

(a) one single-page landing page built on your existing website design;

(b) one set of up to three sized graphics for a single promotion; or

(c) one email or newsletter template.

A Campaign Asset does not include advertising management or ad spend, new photography or videography, a page that requires Functionality as defined in Core Terms 1.12, or more than one round of revision. It is a monthly Allowance and Core Terms 14 governs expiry and make-good. It does not roll over.

D1.2 The component Schedules apply. Each component of a bundle is governed by its own Schedule — Schedule A for Seen Web, Schedule B for Seen Social, Schedule C for Seen SEO — including all Allowances, approval windows, ownership terms and commitments. Buying a bundle does not change what each component includes.

D1.3 Where this Schedule controls. Where this Schedule D conflicts with Schedule A, B or C on term, price or cancellation, this Schedule controls for a bundled purchase.

D2. Term

D2.1 Twelve-month Initial Term. Both bundles have an Initial Term of twelve (12) months from the start date on your Service Order. This applies to the bundle as a whole, including components that would otherwise be month to month.

D2.2 Why. A bundle contains a Seen Web Build, which is financed across the Initial Term in the same way as a standalone Seen Web Plan. The discount on the other components is given on the basis of that same commitment.

D2.3 Billing. Bundles are billed monthly in advance at the bundle rate. Your first month is charged at acceptance under Core Terms 5.3(a). There is no prepayment option for a bundle.

D2.4 Rate fixed for the term. Your bundle rate is fixed for the Initial Term. Core Terms 5.7 governs changes after it.

D3. At the end of the Initial Term

D3.1 What happens. At the end of the Initial Term the bundle ends as a bundle, and each component continues month to month:

(a) the Seen Web component becomes Seen Care Standard at the then-current standard monthly rate, under Core Terms 4.5 and Schedule A1.3;

(b) the Seen Social component continues at the published Annual Term rate for that Plan, month to month, with no new commitment; and

(c) in Seen Complete, the Seen SEO component continues at the published Annual Term rate for that Plan, month to month, subject to the prerequisite in Schedule C1.1.

D3.2 Your price goes down, not up. Because the Build is paid for at the end of the Initial Term, the total you pay afterwards is lower than the bundle rate. We will set out the new component rates and the new total in writing at least thirty (30) days before the Initial Term ends, as required by Core Terms 4.7(f).

D3.3 You may cancel any component at that point, or at any time afterwards, under Core Terms 10.1.

D4. Cancelling a bundle

D4.1 At the end of the Initial Term. You may cancel with written notice, effective at the end of the term. Nothing further is payable.

D4.2 Early cancellation. Because the bundle contains a Build that is delivered before it is paid for, early cancellation requires payoff of the Build under Core Terms 7, calculated as follows:

(a) the Build payoff is the number of whole months remaining in the Initial Term multiplied by the Seen Web Standard monthly rate published at the time you purchased; and

(b) no further amount is payable for the Seen Social or Seen SEO components, and no discount clawback under Core Terms 10.8 applies to a bundle.

D4.3 On payoff. Ownership of the Build transfers to you under Core Terms 8.4. Deliverables already produced and published remain yours under Core Terms 8.5, Schedule B5 and Schedule C4.

D4.4 We will tell you the figure. We will provide a written payoff figure within two (2) Business Days of your request, before anything is charged.

D5. Changing a bundle

D5.1 Adding services. You may add any Plan or add-on to a bundle at any time. Core Terms 4.7(g) applies, so an added Plan on an Annual Term may be set to end on the same date as your bundle.

D5.2 Removing a component. A bundle cannot be partially cancelled during its Initial Term. Removing a component means cancelling the bundle under D4.2 and purchasing the remaining services separately at their published rates.

D5.3 Upgrading within a bundle. You may move to a higher Seen Social Plan within a bundle at any time. The difference between the two rates is added to your monthly price from the next billing date, and the Initial Term end date does not change.
